Terms of Use.

The contractual terms that govern access to the GigHub platform. Plain enough to read, precise enough to rely on. Singapore-law governed.

These Terms of Use (the “Terms”) form a binding agreement between you and GigHub Pte Ltd. (UEN: 202133363H) (“GigHub”, “we”, “us”, or “our”). They govern your access to and use of the GigHub website, platform, and any related services (collectively, the “Services”). By accessing the Services, applying to join the network, posting an engagement, or otherwise indicating your acceptance, you agree to these Terms. If you do not agree, do not use the Services.

Defined commercial terms (for example, scope, fees, deliverables, intellectual property assignment, and warranties) for a specific piece of work between a Client and an Operator are set out in a separate Engagement Agreement referenced from the platform. These Terms govern the use of the platform itself.

Definitions

  • “Client” means a company or other organisation that engages, or seeks to engage, an Operator through the Services.
  • “Operator” means an independent professional admitted to the GigHub network who undertakes Engagements for Clients.
  • “Engagement” means a discrete piece of work between a Client and an Operator, with scope, deliverables, and fees set out in an Engagement Agreement.
  • “Engagement Agreement” means the statement of work, order form, or master services agreement that records the commercial terms of a specific Engagement.
  • “User” means any person who accesses the Services, whether as a Client representative, Operator, applicant, or visitor.
  • “Content” means any information, text, file, code, design, deliverable, message, or material made available on or through the Services.

Eligibility and invite-only access

The Services are intended for use by professionals and organisations acting in the course of business. You may use the Services only if you are:

  • at least 18 years old and have legal capacity to contract;
  • not barred from receiving the Services under the laws of Singapore or any other applicable jurisdiction;
  • not on any applicable sanctions list (for example, those maintained by the Monetary Authority of Singapore, the United Nations Security Council, OFAC, or the EU); and
  • acting on behalf of yourself or a legal entity that has authorised you to bind it to these Terms.

Operator membership is by invitation following our application and vetting process. We may decline, suspend, or revoke access at our discretion, including where standards of quality, conduct, or communication are not met.

Accounts and security

To access certain features you must create an account. You agree to:

  • provide accurate, current, and complete information;
  • keep credentials confidential and not share them with any other person;
  • promptly notify us of any unauthorised use of your account or other suspected security breach at hello@gighub.com;
  • be responsible for all activity that occurs under your account, whether or not authorised by you.

Role of GigHub — facilitator, not principal

GigHub operates a curated network that connects Clients and Operators. GigHub is not a party to the underlying Engagement between a Client and an Operator unless expressly agreed in writing. In particular:

  • GigHub is not the employer of any Operator, does not direct or control how an Operator performs the work, and does not assume the responsibilities of an employer or principal under the Employment Act 1968 or any equivalent legislation;
  • GigHub does not act as a labour or employment agent, recruitment firm, or staffing company within the meaning of the Employment Agencies Act 1958, except where it expressly holds the relevant licence and identifies that role to you;
  • GigHub does not guarantee the quality, timeliness, suitability, or outcome of any Engagement; those obligations sit with the Client and Operator under their Engagement Agreement;
  • GigHub may, where it adds value, act as a payment intermediary or billing agent under separate written arrangements. Where it does so, GigHub holds funds only as agent for the Client until they are released to the Operator per the Engagement Agreement.

Engagements

Scope and pricing

Engagements offered through the Services are outcome-linked, fixed-scope, and fixed-price unless expressly agreed otherwise. The scope, deliverables, acceptance criteria, fees, milestones, and IP assignment for each Engagement are set out in the Engagement Agreement for that piece of work. In the event of conflict between these Terms and an Engagement Agreement, the Engagement Agreement prevails for matters specific to that Engagement.

Acceptance and disputes

Clients are expected to review deliverables and provide acceptance or reasoned written feedback within the period stated in the Engagement Agreement. If a dispute arises about a deliverable or milestone, Client and Operator will use good-faith efforts to resolve it directly. GigHub may, at its discretion and as a service to both parties, facilitate resolution.

Off-platform engagements

Clients and Operators introduced through the Services agree to contract and transact through the platform for the duration of their relationship and for the period stated in the applicable Engagement Agreement (typically twenty-four (24) months from introduction or last Engagement, whichever is later). Circumvention of the platform during this period — including by engaging the other party directly to avoid platform fees — is a material breach of these Terms and may result in liquidated damages, account termination, and recovery of foregone fees.

Fees, payments, taxes

Fees for Engagements and platform fees, if any, are as set out in the applicable Engagement Agreement, order form, or schedule of fees made available on the platform.

  • All amounts are stated in Singapore Dollars (SGD) unless expressly stated otherwise.
  • All amounts are exclusive of Singapore Goods and Services Tax (“GST”) and any other applicable taxes, duties, or withholdings, which will be added to invoices at the rate prevailing on the date of supply where required by law.
  • Each party is responsible for its own income taxes and, where it acts as an independent contractor, for its own employment-related contributions including the Central Provident Fund (“CPF”) contributions in respect of Singapore citizens and permanent residents.
  • Invoices are payable within the period stated on the invoice (default: fourteen (14) days). Late payments accrue simple interest at the lower of 1.5% per month and the maximum rate permitted by law.
  • We may suspend access to the Services where amounts are overdue and not under bona-fide dispute.

Intellectual property

Platform IP

The Services, including all software, content, design, copy, trademarks, and logos, are owned by GigHub or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms. No other rights are granted by implication, estoppel, or otherwise.

User Content

You retain ownership of Content you submit to the Services. By submitting Content, you grant GigHub a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, display, and distribute that Content solely to operate, provide, and improve the Services and to facilitate Engagements. You represent and warrant that you have all rights necessary to grant that licence and that your Content does not infringe any third-party rights.

Work product

Ownership of work product produced under an Engagement is governed by the relevant Engagement Agreement. In the absence of any contrary term, work product is assigned to the Client on full payment of all amounts due for the relevant Engagement, except for the Operator’s background tools, generic know-how, and third-party materials, which the Operator retains and licenses to the Client on a non-exclusive basis to the extent embedded in the deliverable.

Feedback

If you provide suggestions or feedback about the Services, you grant GigHub a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

Confidentiality

Each User who receives non-public information identified as confidential, or that a reasonable person would understand to be confidential, will (i) hold it in confidence; (ii) use it only for the purposes of the Services and any relevant Engagement; and (iii) protect it with no less care than it uses for its own confidential information, and in any event with reasonable care. Confidentiality obligations survive termination for a period of five (5) years, except for trade secrets, which are protected for as long as they remain trade secrets.

Acceptable use

You agree not to:

  • use the Services in any way that breaches applicable law or regulation;
  • attempt to gain unauthorised access to the Services, related systems, or another user’s account;
  • probe, scan, or test the vulnerability of the Services or breach any security or authentication measures except under a written programme authorised by us;
  • reverse engineer, decompile, or disassemble any part of the Services, except to the extent expressly permitted by applicable law;
  • use the Services to send spam, harvest data, distribute malware, or run scraping or automated agents without our prior written consent;
  • upload Content that is unlawful, defamatory, fraudulent, discriminatory, infringing, obscene, or harmful;
  • impersonate any person or misrepresent your affiliation with any person or entity;
  • circumvent the platform to avoid platform fees as described in Engagements — off-platform engagements above.

Third-party services

The Services may interoperate with third-party services (for example, authentication providers, calendars, payment processors, e-signature platforms, or hosted document tools). Your use of those services is governed by their own terms, which we do not control. We are not responsible for third-party services.

Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Services will be uninterrupted, secure, or error-free. We do not warrant the performance, quality, qualifications, or outcomes of any Operator or Client introduced through the Services, and we do not endorse any User.

Nothing in these Terms excludes or limits a liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, or data, arising out of or in connection with these Terms or the Services, whether based in contract, tort (including negligence), statute, or otherwise, even if the party has been advised of the possibility of such damages.
  • Our aggregate liability arising out of or in connection with these Terms and the Services, taken together for all claims combined, will not exceed the greater of (a) the platform fees actually paid by you to GigHub in the twelve (12) months preceding the event giving rise to the claim, and (b) Singapore Dollars one thousand (S$1,000).

These limitations apply notwithstanding the failure of essential purpose of any limited remedy and are essential to the basis of the bargain between the parties.

Indemnity

You agree to defend, indemnify, and hold harmless GigHub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (i) your access to or use of the Services; (ii) your breach of these Terms; (iii) your Content; or (iv) your violation of any law or the rights of any third party.

Suspension and termination

You may stop using the Services and close your account at any time by writing to hello@gighub.com. We may suspend or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe that you have breached these Terms, the law, the rights of others, or to protect the integrity of the Services. We will, where practicable, provide notice and an opportunity to cure for non-material breaches.

Sections that by their nature should survive termination — including Intellectual property, Confidentiality, Disclaimers, Limitation of liability, Indemnity, and Governing law and dispute resolution — will survive termination.

Force majeure

Neither party will be liable for any failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, riot, civil unrest, government action, epidemic or pandemic, fire, flood, earthquake, power or telecommunications failure, or denial-of-service attack, provided that the affected party uses reasonable efforts to mitigate the effect of the event.

Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration is Singapore. The tribunal will consist of a sole arbitrator. The language of the arbitration is English. Notwithstanding the foregoing, either party may apply to any court of competent jurisdiction for urgent interim or injunctive relief.

Notices

We may give notices to you by email to the address associated with your account or by posting on the Services. Notices to us must be sent in writing to legal@gighub.com and, where the matter is material, also by post to our registered office set out below. Notices are deemed received on (a) the day of sending, if sent by email before 5pm local time on a business day; or (b) the next business day in all other cases.

Changes to these Terms

We may amend these Terms from time to time. When we do, we will update the effective date above and, where the changes are material, take reasonable steps to bring them to your attention. Your continued use of the Services after an update means you accept the revised Terms. If you do not accept the revised Terms, you must stop using the Services.

Miscellaneous

  • Entire agreement — these Terms, together with any Engagement Agreement and any document expressly incorporated by reference, constitute the entire agreement between the parties on their subject matter and supersede all prior agreements, understandings, or representations.
  • Severability — if any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver — our failure to enforce any provision is not a waiver of that or any other provision.
  • Assignment — you may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
  • Independent contractors — nothing in these Terms creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and GigHub.
  • Third-party rights — a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term, except as expressly stated.
